Terms of Service

Effective date: Pending publication · Last updated: 19 June 2026

These Terms of Service ("Terms") govern your access to and use of the Ping mobile app, the ping.cash website, and related services (together, the "Service"), operated by Nawa Technology LLC (Muscat, Sultanate of Oman) ("Ping", "we", "our", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract. You may not use the Service if you are located in, or are a resident or national of, a country or region subject to comprehensive sanctions, or if you appear on any applicable sanctions or watch list. You are responsible for ensuring your use of the Service is lawful where you live.

2. The Service

Ping is a peer-to-peer money network. It lets you hold USDC in a non-custodial wallet, send value to a recipient identified by their phone number, and — where supported — let recipients receive funds to local bank or mobile-wallet rails. Transfers settle on the Solana blockchain. We are a technology provider; we are not a bank and do not pay interest on balances except where an optional, separately-described earn feature is enabled.

3. Your account and security

Your account is tied to your phone number and protected by a one-time code and your device's biometric authentication. You are responsible for keeping your device and account secure. Notify us promptly at support@ping.cash if you suspect unauthorized access.

4. Non-custodial wallet

Your wallet is non-custodial and created through Privy's MPC threshold-signature service. Your keys are split across your device, Privy, and an offline shard; we never hold a private key or seed phrase and cannot move, freeze, or recover your funds on your behalf. You are solely responsible for maintaining access to your wallet. Loss of access may result in permanent loss of funds.

5. Fees and rates

Ping charges a flat fee for transfers, disclosed to you before you confirm each transfer. We do not add a markup to the exchange rate; foreign-exchange pricing is sourced on-chain. Third-party network fees, on-ramp provider fees, and recipient-side cash-out fees may apply and are shown where applicable. The total you see before confirming is the amount that applies.

6. Transfers and settlement

Blockchain transactions are final and irreversible once confirmed. Always verify recipient details before confirming — we cannot reverse a completed on-chain transfer. A transfer to a recipient who has not yet claimed may be cancellable for a limited window as described in the app. We are not responsible for funds sent to an incorrect recipient that you authorized.

7. Compliance, KYC, and sanctions

We screen transfers against sanctions lists and may require identity verification (KYC) depending on amount, corridor, and applicable law. We may delay, block, or refuse a transfer, and may suspend or close an account, where required to comply with anti-money-laundering, sanctions, or other legal obligations. By using the Service you authorize these checks.

8. Acceptable use

You agree not to use the Service to:

  • break any law, or fund illegal goods, services, or activity;
  • launder money, finance terrorism, or evade sanctions;
  • commit fraud, or impersonate another person;
  • circumvent our security, compliance, or rate limits, or attack the Service.

9. Third-party services

The Service relies on third parties including Privy (wallets), Twilio (SMS), TransFi (fiat settlement), Onramper (on-ramp), and Solana RPC providers. Your use of those features may be subject to their terms, and we are not responsible for their acts or omissions.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. Digital assets and blockchain networks carry risk, including price volatility, network congestion or failure, and irreversible transactions. We do not guarantee that the Service will be uninterrupted, error-free, or that a transfer will complete within a given time.

11. Limitation of liability

To the maximum extent permitted by law, Ping and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of funds resulting from your loss of wallet access, your authorization of an incorrect transfer, or the acts of third parties or blockchain networks. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold Ping harmless from claims arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Changes to the Service or Terms

We may modify the Service or these Terms. For material changes to these Terms we will provide notice via in-app notification or the website. Continued use after the effective date of a change constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the Sultanate of Oman, without regard to conflict-of-laws rules. Disputes will be subject to the competent courts of Muscat, Oman, except where applicable consumer-protection law gives you the right to bring proceedings in your country of residence.
